How Can an SME Bid With a Partner When It Cannot Meet the Requirements Alone?

A turnover gap or a missing reference is sometimes filled by another company. The notice decides whether that help is a joint bid, a reliance on capacity, or only a subcontract.

When does another company's strength count toward your bid?

A public buyer compares offers later. First it asks whether the bidder is suitable to be considered. Under Directive 2014/24/EU that test is selection: suitability to pursue the activity, economic and financial standing, and technical and professional ability. Article 58 requires each condition to relate to the subject-matter and to be proportionate. A minimum yearly turnover must not exceed twice the estimated contract value, except in duly justified cases such as special risks, and the buyer then states the main reasons in the procurement documents or the individual report. Split into lots, the rule applies per lot, unless the buyer sets the minimum for lots that would run together.

An SME can still do the work and miss one number, one reference, or one named qualification. On contracts the directive covers, Article 19 lets a group, including a temporary association, submit one tender, and Article 63 lets a single bidder rely on another entity's financial standing or technical ability for that contract. Below the EU thresholds, national rules apply and can differ. The notice on Tenders Electronic Daily, and the documents behind it, name the procedure you are in.

A partner's turnover counts in the arrangement the pack allows, and only with proof the resources will be there.

What is the difference between a consortium, reliance, and a subcontract?

Meridian Field Services Ltd, a fictional grounds contractor, is looking at a three-year municipal maintenance contract. Selection asks for yearly turnover of twice one year's estimated value, three comparable contracts, and a named winter-service supervisor. Twice one year sits inside the Article 58 ceiling of twice the whole contract, so the example needs no justified exception. Meridian has the supervisor and two references. Turnover is short. Aldergate Works will perform the winter service and will put its accounts and a third reference behind the bid.

Article 71 lets the buyer ask which share will be subcontracted and to whom. That names the firm that may do the work. Article 63 is the separate claim that the other company's resources count for selection. A method statement that says Aldergate will do winter service leaves Meridian's turnover unchanged until the bid relies on Aldergate in the way the documents describe.

ArrangementWho submits the tenderWhat the partner's figures do
Consortium or groupThe members submit one tender togetherCapacities are assessed across the group, on the terms in the documents
Reliance on another entityOne bidder relies on the other companyThe other company's standing or ability counts for the criteria named, if the proof is accepted
Subcontract without relianceOne bidder names a firm to perform a shareThe share of work is disclosed. That firm's turnover does not fill the bidder's selection gap

Which requirements can a partner's capacity fill?

Article 63 covers economic and financial standing and technical and professional ability. The legal link does not matter: a parent, a sister company, a subcontractor, or a consortium member can be relied on where that is appropriate for the contract. For educational and professional qualifications in Annex XII, Part II, point (f), and for relevant professional experience, the other entity must perform the works or services those capacities are for. Aldergate's winter-service reference counts when Aldergate performs that service.

Where the reliance is financial, the buyer may require the bidder and the other entity to be jointly liable for execution. For works, services, and siting or installation in a supply contract, Article 63(2) lets the documents reserve critical tasks to the tenderer itself or, in a group, to a participant. A group may rely on a member or an outsider under the same conditions. Article 19 lets the buyer explain, on objective and proportionate grounds, how a group meets standing or ability, and it may require a legal form after award where that form is necessary for performance. The group can submit the tender without that form.

What proof shows the capacity will actually be there?

The bidder must show it will have the resources at its disposal. Article 63 gives a commitment from the other entity as the example, and Article 60 allows any appropriate means. A note that a partner is willing to discuss support is thin. A commitment that names the contract, the resources, and the period is the proof the article describes.

Article 59 requires buyers to accept the European Single Procurement Document, an updated self-declaration, as preliminary evidence instead of certificates. Where the bidder relies on others, that information covers those entities too. The standard form in Implementing Regulation (EU) 2016/7 asks, in Part II Section C, for a separate ESPD signed by each entity relied on. Each member of a group files its own. Section D covers subcontractors whose capacity is not relied on, and only where the buyer asks. Before award, the intended winner still has to produce up-to-date supporting documents, with limited exceptions. In Case C-812/24 (22 January 2026) the Court of Justice held that a parent using a wholly owned subsidiary's capacities is relying on another entity, and that a missing subsidiary ESPD is not, by itself, a ground for exclusion where national law allows a rectification that respects equal treatment. File what this pack asks for, and keep the accounts and references ready.

What happens if the partner fails a check?

The buyer checks the entities relied on against the relevant selection criteria and the exclusion grounds in Article 57. It must require replacement of an entity that misses a relevant criterion or that falls under a compulsory ground, such as the criminal convictions or unpaid tax and social-security breaches Article 57 specifies. It may require replacement for a non-compulsory ground, including insolvency or grave professional misconduct, and national law may make that mandatory. Article 57(6) lets an operator show that measures it has taken demonstrate reliability despite a relevant ground. Have that self-cleaning evidence in the file if the partner needs it. A partner that will not answer the exclusion questions leaves a hole in a check the buyer has to make, and the deadline to substitute someone else can be short.

How do France, Germany, the United Kingdom, and the United States handle this?

France. Articles R2142-19 to R2142-27 of the Code de la commande publique let groups bid. A groupement conjoint commits each member to its share. A groupement solidaire commits each member financially for the whole contract. The mandataire represents the group and, where the contract says so, is also liable for the members' obligations. The buyer cannot require a legal form merely to submit the bid. It may require one after award where that is necessary for performance, and it justifies the requirement in the consultation documents. Capacities are judged for the group as a whole, and essential tasks can be reserved to a member if the documents say so.

Germany. Under § 47 of the Vergabeverordnung, a candidate or bidder may use another company's economic, financial, technical, and professional capacity for a particular contract, with proof such as a Verpflichtungserklärung. Qualifications and relevant experience count only where that company performs the service. The buyer requires replacement where a criterion is missed or a compulsory ground under § 123 of the Gesetz gegen Wettbewerbsbeschränkungen applies, and may require it for an optional ground under § 124. The same rules apply to a Bietergemeinschaft. Below the EU thresholds, other German rules apply.

United Kingdom. Procurements in England, Wales, and Northern Ireland started on or after 24 February 2025 follow the Procurement Act 2023. Scotland has its own legislation. Section 22 lets a supplier meet a condition of participation to the extent an associated supplier meets it, by tendering together or by a subcontract or guarantee the authority is satisfied will be binding. Cabinet Office guidance on section 72 says the authority may direct the supplier to make a relied-on subcontract binding, and may refuse the contract, require an alternative, or terminate if the supplier does not.

United States. FAR 9.601 describes a contractor team arrangement as companies forming a partnership or joint venture to act as a potential prime, or a potential prime agreeing that others will subcontract under a specified government contract. Responsibility is assessed under FAR Subpart 9.1. On a small-business set-aside, the limitations-on-subcontracting clause in that solicitation sets how much of the amount paid by the government may go to firms that are not similarly situated. The country guides linked below show where these notices are published.

What should you settle before the writing starts?

Settle the commercial terms before drafting. A conjoint group leaves each firm on its share. A solidaire group, or joint liability under Article 63, exposes the partner more widely, so the agreement should say who leads, who is paid, and who may speak to the buyer. The partner still has to sign the commitment and complete the form this notice requires. A partner that will not sign is a reason to leave the notice.

  • Copy the selection criteria, the turnover basis, the lots, and any critical-task clause, with the page.
  • Name the arrangement: a group, a reliance, or a subcontract whose capacity you are not using.
  • Match each borrowed reference or qualification to work that entity will perform.
  • Collect the commitment, the ESPD or national equivalent, and the exclusion answers.
  • Record whether joint liability is required and whether the partner accepts it.
  • Keep accounts and certificates ready for the request that comes before award.

How does TenderFaro help with this reading?

TenderFaro turns the notice and the procurement documents into structured requirements, including turnover thresholds, critical tasks, partner declarations, and dates, and compares them with the company's certificates, insurance, policies, and project references. Each finding keeps its source, so a reviewer can open the sentence that says whose capacity counts. The people who would sign the partner agreement decide whether the commitment is enough to bid. The guide to public tenders follows a competition from notice to award, alongside the pieces on declining a weak tender early, on the mistakes that get a bid disqualified, and on the glossary of selection criteria and the ESPD.

Frequently asked questions

Can an SME use a partner's turnover to meet a minimum?

Yes, where Directive 2014/24/EU applies, if you bid as a group under Article 19 or rely on the other entity's financial standing under Article 63 and prove the resources will be available. Article 58 caps a minimum yearly turnover at twice the estimated contract value unless the buyer justifies more. A subcontract alone leaves your own turnover as the figure under test.

Can you rely on another company's experience if it will not do the work?

Article 63 allows that reliance for professional experience, and for the qualifications in Annex XII, Part II, point (f), only where the other entity will perform the relevant works or services. Financial standing can be relied on without that condition, and the buyer may then require joint liability.

Does every consortium member file an ESPD?

The standard form in Implementing Regulation (EU) 2016/7 asks each group member, and each entity whose capacity is relied on, for its own ESPD. The buyer can still require supporting documents before award. In Case C-812/24 the Court held that a missing subsidiary ESPD is not, by itself, a ground for exclusion where national law allows a rectification that respects equal treatment.

Can the buyer make the partner liable for the whole contract?

Where the reliance is financial, Article 63 lets the buyer require joint liability for execution. In France, a groupement solidaire commits each member for the whole contract. Read the form in this pack before the partner signs.

How does this work under the UK Procurement Act 2023?

Section 22 treats a supplier as meeting a condition of participation to the extent an associated supplier meets it, by a joint tender, a binding subcontract, or a performance guarantee. That covers procurements in England, Wales, and Northern Ireland started on or after 24 February 2025. Scotland has its own legislation, so follow the notice.

Does TenderFaro decide whether a partner's capacity counts?

No. TenderFaro structures the requirements, matches them to your company's evidence, and keeps a source citation on each finding. Your team decides whether the arrangement is a group, a reliance, or a subcontract, and whether the commitment and the partner's answers are enough to bid.
